Your role will focus on the delivery of client engagements, exercising effective communication and relationship-building skills, as well as contributing to the priorities of the law firm. In this role, you will commit to personal learning and development and explore opportunities to make an impact by delivering exceptional legal services.
Your responsibilities will include:
- Planning and managing of complex legal documents such as legal memoranda, contract briefings and legal briefs.
- Developing client tailored legal documents;
- Reviewing the quality of legal research processes and validating the accuracy and impact of research results;
- Documentation for the formalization and execution of structural changes in a capital Company;
- Post-Merger Integration documentation (joint venture, private equity/venture capital investments);
- Stock Purchase Agreements/Asset Purchase Agreements, (SPA/APA), guarantees, Shareholder Agreements;
- Debt restructuring and guarantee agreements.
- Optimizing complex technical analyses.
- Providing creative, research-based insights and solutions to client.
- Applying expert technical legal knowledge in all deliverables.
- Complex Corporate Reorganizations – leading the process through to final execution; advising in the choice of jurisdiction; identifying the most appropriate manner to conduct and execute the transaction.
- Key corporate resolutions (such as capital increase/decrease, dissolution and winding up), including process to follow.
- Cash repatriation (capital decrease, dividend distribution, share buy-back).
- Structural changes in a Company (international merger and transfer of registered offices) – including practical issues that can arise, and legal issues to consider both before and during the process.
- Local/International Post-Merger Integration processes (joint venture, private equity/venture capital investments) - designing suitable structures; identifying practical issues that can arise; listing legal issues to consider both before and during the process.
- Shareholders’ agreements & Family Protocols – identifying key focus areas following diagnosis phase; determining appropriate solution.
- Acquisitions, financing and debt restructuring of a company – including most suitable structure.

Your Leadership and Professional skills:
- Facilitates conversations, meetings and other interactions with internal and external stakeholders in an impactful way that enables open exchange of ideas and information;
- Seeks challenges, and opportunities to build on own and teams’ strengths, develop new capabilities, and learn from and share with others;
Your Specialized skills:
- You have obtained a Masters’ in Advocacy; additional qualifications or experience are an asset.
- Warranted under the laws of Malta.
- At least 4 years’ experience working within a legal firm.
- Excellent command of the English language.
- An LL.M. in the field of law would be considered an asset.
